Terms for Agency Partners

1. Definitions

• "The Framework"
  Refers to the proprietary software platform "Corporate Framework".
• "Certified Developer"
  An individual who holds a valid certification in accordance with the then-current Terms for Certified Developers.
• "The Partner Program"
  Corporate's official program for agency partners.
• "Partner Status"
  The "Agency Partner" status that the Partner obtains by meeting the requirements of these Partner Terms.
• "Lead"
  A potential end-customer that has been referred to the Partner by Corporate.

2. Participation and Requirements

2.1. Core Requirements

To become and remain a Agency Partner, the Partner must meet the following minimum requirements at all times:

• The Partner must have a minimum of one (1) full-time employee who is a Certified Developer.
• The Partner must have a documented history of delivering professional software solutions.
• The Partner must comply with all obligations in these Partner Terms and our general Terms of Service.

2.2. Application Process

Participation in the Partner Program requires a written application and subsequent approval from Corporate. Corporate reserves the right to reject any application without cause.

2.3. Ongoing Commitment

The loss of the last or sole Certified Developer for a period of more than 90 days constitutes a material breach of these terms and will result in the immediate revocation of the Partner Status.

3. Partner Rights and Benefits

An approved Partner with a valid Partner Status is entitled to:

• Lead Referrals

  To be considered for referrals of Leads from Corporate. Corporate provides no guarantee regarding the number or value of such referrals.

• Access to Resources

  To gain access to the private Partner Portal with sales and marketing materials, as well as a prioritized support track to Corporate's technical team.

• Branding

  A limited, non-exclusive right to use the "Corporate Agency Partner" logo in accordance with Corporate's brand guidelines.

• Directory Listing

  To be listed in the official, public directory of partners on Corporate's website.

4. Partner Obligations

The Partner commits to:

• Performing all development work with the Framework in accordance with the best practices defined in the Developer Hub.
• Acting as a professional ambassador for Corporate and the Framework.
• Being responsible for all "first-level" support, contracting, and project management for its own clients.
• Keeping its company information updated in the Partner Portal.

5. Term and Termination

5.1. Term

Partner Status is granted for a period of 12 months at a time and is automatically renewed as long as the Partner meets the applicable requirements.

5.2. Termination

Either Party may terminate the partnership in writing with 30 days' notice. Corporate may terminate the partnership with immediate effect upon the Partner's material breach of these Partner Terms or Corporate's general Terms of Service.

5.3. Effect of Termination

Upon termination, the Partner immediately loses all rights described in section 3 and must promptly cease using all partner-related branding

6. Limitation of Liability

The relationship between Corporate and the Partner is that of independent contractors. Corporate is under no circumstances liable for the Partner's actions, projects, agreements with clients, or any losses the Partner may suffer. Corporate's total liability under these Partner Terms is limited to any partner fees paid by the Partner in the preceding 12 months.

7. Governing Law and Jurisdiction

These Partner Terms are governed by and shall be construed in accordance with the laws of the country where Corporate has its headquarter, without regard to principles of conflict of laws.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts at the location where Corporate has its headquarter at any given time.
