Terms for Certified Developers

Effective from June 1, 2015

These terms ("Developer Terms") apply to any individual ("the Developer", "you") who applies for, obtains, or maintains the status of a Certified Developer for the Corporate Framework. These Developer Terms constitute an addendum to Corporate's general Terms of Service and are legally binding.

By submitting an application to or participating in the Certification Program, you accept these Developer Terms

1. Definitions

  • "The Certification Program"
    The then-current program offered by Corporate to test and validate a developer's skills in the Framework.
  • "Certificate"
    The personal, time-limited proof issued to a Developer who has passed the Certification Program.
  • "Developer Hub"
    The access-restricted online portal for Certified Developers, which contains the Framework's source code, technical documentation, beta versions, and other confidential information.
  • "Confidential Information"
    All non-public information available in the Developer Hub, including, but not limited to, source code, API documentation, release notes for upcoming versions, and technical guides.

2. Certification Process

2.1. Assessment

Corporate assesses all applications based on our internal criteria. Corporate has the full and final right to grant or deny a certification.

2.2. Acknowledgment

By accepting these terms, you acknowledge that a certification is proof that you have passed a test at a given point in time, and not a guarantee of future performance or job opportunities.


3. Developer License and Rights of Use

3.1. Grant of License

Upon obtaining a valid Certificate, the Developer is granted a personal, non-exclusive, non-transferable, and revocable Developer License.

3.2. Rights

This license grants the Developer the right to:

  • Access the Developer Hub.
  • Use the Framework and its source code for the sole purpose of developing, maintaining, and testing Solutions for customers with a valid Runtime License.

3.3. Conditions

The Developer License is strictly contingent upon the Developer holding a valid and active Certificate at all times.


4. Developer's Obligations

4.1. Confidentiality

This is a core obligation. The Developer acknowledges that all content in the Developer Hub is strictly confidential. The Developer may under no circumstances share, copy, distribute, publish, or otherwise disclose Confidential Information to any third party, including clients, unless specifically permitted in writing by Corporate. This obligation shall survive the expiration or termination of the Certificate and this Agreement.

4.2. Access Credentials

The Developer is responsible for protecting their credentials to the Developer Hub and may not share them with others.

4.3. Professional Conduct

The Developer must act professionally at all times, represent the Corporate Framework accurately, and adhere to the best practices described in the documentation.

4.4. No Distribution

The Developer may under no circumstances redistribute, resell, or sublicense the Framework or any part of its source code.


5. Certificate Validity and Renewal

5.1. Validity Period

A Certificate is valid for two (2) years from the date of issue, unless otherwise specified.

5.2. Renewal

To maintain their status as a Certified Developer, the Developer must renew their Certificate before its expiration date. Corporate reserves the right to require that renewal is contingent upon passing a new test, participating in update courses, or other forms of skills validation to ensure the Developer's knowledge is current with the latest version of the Framework.


6. Termination and Revocation of Certificate

Corporate reserves the right to immediately revoke a Certificate and terminate the Developer License upon any material breach of these Developer Terms. A material breach includes, but is not limited to:

  • A breach of the confidentiality obligation (section 4.1).
  • Sharing of access credentials to the Developer Hub.
  • Failure to adhere to professional standards to a degree that harms Corporate's reputation

Upon revocation or expiration of the Certificate, the Developer's access to the Developer Hub and the right to develop with the Framework shall cease immediately.


7. Limitation of Liability

Corporate is not liable for the Developer's work, agreements with clients, or any losses the Developer may suffer. Our total liability under these terms is limited to any certification fee paid by the Developer.


8. Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of the country where Corporate has its headquarter, without regard to principles of conflict of laws.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts at the location where Corporate has its headquarter at any given time.
