Terms for Integration Partners

Effective from March 1, 2022

These terms ("Partner Terms") apply to any company ("the Partner") that applies to or participates in Corporate's Technology Partner Program ("the Partner Program"). These Partner Terms constitute an addendum to Corporate's general Terms of Service and are legally binding.

By applying to or participating in the Partner Program, the Partner accepts these Partner Terms.

1. Definitions

  • "The Framework"
    Refers to the proprietary software platform "Corporate Framework".
  • "Certified Developer"
    An individual who holds a valid certification in accordance with the then-current Terms for Certified Developers.
  • "The Partner Program"
    Corporate's official program for integration partners.
  • "Partner Status"
    The "Technology Partner" status that the Partner obtains by meeting the requirements of these Partner Terms.
  • "The Partner's Service"
    The software, service, or platform owned and offered by the Partner.
  • "The Integration"
    The software connector or bridge developed by the Partner to connect the Partner's Service with the Framework.

2. Participation and Requirements

2.1. Core Requirements

To become and remain a Technology Partner, the Partner must at all times meet the following:

  • The Partner must have a minimum of one (1) Certified Developer employed or contracted to build and maintain The Integration.
  • The Partner's Service must be of high quality, professionally maintained, and relevant to Corporate's customers.
  • The Partner must comply with all obligations in these Partner Terms.

2.2. Application Process

Participation in the Partner Program requires a written application, a technical review of the Partner's Service, and subsequent approval from Corporate.


3. Partner Rights and Benefits

An approved Partner with a valid Partner Status is entitled to:

  • Access to Technical Resources

    Full access to the Developer Hub, API documentation, sandbox environments, and a prioritized support track to Corporate's technical team to support the development of The Integration.
  • Branding

    A limited, non-exclusive right to use the "Corporate Framework Certified Integration Partner" logo in the marketing of The Integration.
  • Joint Marketing

    The opportunity to participate in joint marketing activities, such as webinars or blog posts, as agreed with Corporate.
  • Directory Listing

    To have The Integration listed in the official, public directory of third-party integrations on Corporate's website

4. Partner Obligations

The Partner commits to:

  • Develop and Maintain

    Being fully responsible for all development, testing, maintenance, and updating of The Integration, including ensuring compatibility with new versions of the Framework.
  • Provide Support

    Being fully responsible for providing technical support to end-customers regarding the functionality of The Integration and the Partner's Service.
  • Security

    Ensuring that The Integration meets Corporate's security standards and does not compromise the security or integrity of the Framework or the Solutions in which it is used.
  • Documentation

    Preparing and maintaining clear and comprehensive documentation on how to install and use The Integration.

5. License Rights

5.1. License to the Partner

Corporate hereby grants the Partner a limited, non-exclusive license to use the Framework's API and development tools for the sole purpose of developing and maintaining The Integration.

5.2. License from the Partner

The Partner hereby grants Corporate and Corporate's customers a license to install and use The Integration in connection with a Solution built on the Framework. The specific commercial terms for the use of the Partner's Service (e.g., subscription fees) are a matter between the Partner and the end-customer and are governed by the Partner's own terms of service


6. Term and Termination

6.1. Term

Partner Status is granted for a period of 12 months at a time and is automatically renewed as long as the Partner meets the applicable requirements.

6.2. Termination

Corporate reserves the right to terminate the partnership and remove The Integration from its marketing if The Integration is no longer maintained, poses a security risk, or if the Partner otherwise is in material breach of these terms.


7. Limitation of Liability

Corporate is under no circumstances liable for the functionality, security, or operation of the Partner's Service or The Integration itself. Any loss suffered by an end-customer as a result of faults in The Integration is solely a matter between the Partner and the end-customer.


8. Governing Law and Jurisdiction

These Partner Terms are governed by and shall be construed in accordance with the laws of the country where Corporate has its headquarter, without regard to principles of conflict of laws.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts at the location where Corporate has its headquarter at any given time.
