Terms of Service for Corporate Framework

Effective from June 1, 2015 to May 24, 2018

These Terms of Service ("Terms") govern any use of the Corporate Framework software platform ("the Framework") developed and owned by Corporate ("us", "we").

By purchasing a license for or otherwise using an application built with the Framework, you ("the Customer") accept these Terms.

1. Definitions

  • "The Framework"
    Refers to Corporate's proprietary software platform, including all source code and related components used to build Solutions.
  • "The Solution"
    Refers to a specific and defined application developed for a Customer using the Framework.
  • "Runtime License"
    The license that grants a Customer the right to operate and allow its users to utilize one specific Solution.
  • "Certified Developer"
    An individual software developer who has been officially certified by Corporate to develop and maintain Solutions with the Framework.

2. License and Rights of Use

2.1. Runtime License
A valid Runtime License grants the Customer the non-exclusive right to use one Solution for its intended purpose.

The license solely grants the right to use the Solution's functionality via its user interface.

The Runtime License does not, under any circumstances, grant the right to access, copy, or modify the Framework's source code.

2.2. Requirement for a Certified Developer
All development, maintenance, bug-fixing, and any other form of technical modification of a Solution must be performed by a Certified Developer.

This is a non-negotiable requirement to ensure the quality, security, and integrity of all Solutions built on the Framework.

Any attempt to circumvent this requirement constitutes a material breach of this agreement.


3. Payment

Runtime Licenses are invoiced for a period of 12 months at a time, unless otherwise agreed in writing.

Payment must be made in accordance with the submitted invoice.

Failure to make timely payment may lead to the suspension and, ultimately, the termination of the Solution's operation.


4. Intellectual Property

Corporate retains full and unrestricted ownership of and all intellectual property rights to the Framework.

A Runtime License constitutes solely a right of use and not a transfer of ownership.

The Customer owns the data that the Customer enters and processes in the Solution.


5. Limitation of Liability

The Framework and any Solution are provided "as is".

Corporate cannot be held liable for any indirect damages, loss of operations, loss of data, or loss of profits.

Corporate's total liability towards the Customer is, in all circumstances, limited to the amount the Customer has paid in license fees during the 12 months preceding the damaging event.


6. Governing Law and Jurisdiction

This agreement is subject to Canadian law.

Any dispute that may arise in connection with these Terms shall be settled by the court at the location where Corporate has its headquarters at any given time.
