Terms of Service for Corporate Framework

Effective from August 3, 2022 to January 2, 2025

These Terms of Service ("Terms") have been updated to reflect the expanded integration capabilities of Framework v2.0 and to strengthen the general terms governing our services.

These terms constitute a legally binding agreement between Corporate ("us") and any customer, user, or partner ("the Customer") using the Corporate Framework ("the Framework").

1. Definitions

  • "The Framework"
    Refers to Corporate's proprietary software platform, including all source code, APIs, components, modules, and associated technical documentation.
  • "The Solution"
    Refers to a specific and defined application developed for a Customer using the Framework.
  • "Runtime License"
    The license that grants a Customer the non-exclusive, non-transferable right to operate and allow its users to utilize one specific Solution.
  • "Certified Developer"
    An individual software developer who has been officially certified by Corporate to develop and maintain Solutions with the Framework.
  • "Developer Hub"
    The access-restricted online portal for Certified Developers.
  • "Partner"
    An agency or technology company that has entered into a formal partnership agreement with Corporate.

2. Scope and Acceptance

2.1. Scope of Agreement
These Terms govern all aspects of access to and use of the Framework.

2.2. Acceptance
You accept these Terms by paying a license invoice, applying for certification, or by otherwise putting the Framework or a Solution into use.

2.3. Special Terms
These Terms incorporate by reference the separate Terms for Certified Developers and Terms for Partners.

By accepting these Terms, you also agree to the then-current terms for these programs, should you apply for or participate in them.


3. License and Rights of Use

3.1. Runtime License
A valid Runtime License grants the Customer the right to use one Solution's functionality via its user interface.

The license does not grant any right to access the Framework's source code, the Developer Hub, or to perform any technical modifications.

3.2. Requirement for a Certified Developer
All development, maintenance, and technical modification of a Solution must be performed by a Certified Developer.

Any attempt to circumvent this requirement constitutes a material breach of this agreement.


4. Acceptable Use

You may not use the Framework, its API, or any Solution to:

  1. Engage in or promote illegal activities.
  2. Infringe upon any third party's intellectual property or privacy rights.
  3. Transmit unsolicited mass communications (spam).
  4. Distribute malware, viruses, or other malicious code.
  5. Overload, disrupt, or place unreasonable demands on our API infrastructure beyond specified rate limits.

5. Payment and Duration

5.1. License Fee
All Runtime Licenses are billed annually in advance for a 12-month period, unless otherwise agreed in writing.

5.2. Duration and Renewal
The license period is 12 months and will be automatically renewed for subsequent 12-month periods unless terminated in writing by either party with at least 30 days' notice before the end of the current period.

5.3. Non-Payment
In the event of non-payment, Corporate reserves the right to suspend and ultimately terminate the operation of the Solution.


6. Data Processing and Security

6.1. Data Processing

If the Customer uses a Solution to process personal data, you are the Data Controller and Corporate acts as the Data Processor.

It is your responsibility to ensure compliance with all applicable data protection laws, such as the EU's General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA/CPRA).

A Data Processing Agreement (DPA) must be executed with Corporate if required by such laws.

6.2. Security

We implement reasonable technical measures to protect the Framework.

The Customer is responsible for the security of their own Solution, including proper configuration of user access and adherence to best practices as guided by their Certified Developer.


7. Intellectual Property

Corporate retains full ownership of all intellectual property rights to the Framework.

The Customer owns the data entered and processed by the Customer in the Solution.


8. Limitation of Liability

The Framework is provided "as is".

Our total liability is limited to the license fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

We are not liable for any indirect damages, loss of operations, loss of data, or loss of profits.


9. General Provisions

9.1. Force Majeure

Neither party shall be held liable for any failure to perform its obligations if such failure is due to a cause beyond the party's reasonable control.

9.2. Entire Agreement

These Terms, together with the documents they reference, constitute the entire agreement between the parties.

9.3. Changes to Terms

We reserve the right to modify these Terms with 30 days' notice. Material changes will be communicated in writing.

9.4. Governing Law and Jurisdiction

This agreement is subject to the laws of the country where Corporate has its registered headquarters.

Any dispute shall be settled by the court at the location where Corporate has its headquarters at any given time.
